Terms of service

Application

1. Linecut Oy (“Linecut”) provides a  platform (“Platform”) allowing vendors (“Partners”) to market and sell products and/or services (“Products”) to event attendees (“Users”) before, during and after events organised by the Partner and Users to purchase Products from Partners through the Platform.
2. When marketing and selling the Products to the Users through the Platform, the Partner acts as a business as defined in the applicable consumer protection legislation.
3. These Terms of Service ("Terms") are applied to the use of the Platform by the User and constitute an agreement between the User and Linecut. In order to use the Platform, the User must accept and adhere to be bound by these Terms when registering to the Platform.

User’s Responsibilities

 

1. When registering to the Platform, the User must provide all information required on the registration form. The User is responsible for the correctness of the information provided. Should there be changes to the information, the User must update the information without undue delay. Linecut is not liable for any damages caused by incorrect information.
   
2. The User adheres to use the Platform in accordance with the Terms valid at any given time and the applicable legislation. The User may not use the Platform in a way that results in the Platform ceasing to function, overload or otherwise be damaged or that otherwise causes apparent damage to Linecut. 
   
3. The account and password created for the User for the use of the Platform are personal and the User may not give or disclose them to a third party. The User is responsible for any and all actions made with their account. The User must notify Linecut immediately if they suspect that their account has been revealed to a third party. Actions performed on the Platform with the User’s account before Linecut has confirmed that it has received the notification of the account’s disclosure are binding on the User.

Linecut’s Responsibilities

1. Linecut provides the Platform to the Partners and Users, allowing Users to purchase Products from the Partner through the Platform.
   
2. Linecut is not a party in the sale of Products between the Partner and the User and shall not in any way be liable for the Products, the delivery thereof or the information provided concerning the Products. 
   
3. The information presented in the marketing or other materials concerning the Platform are not specifications of the Platform. Linecut is entitled to develop the Platform and correct possible errors without prior notice.
   
4. Linecut is without liability entitled to temporarily take the Platform out of use either wholly or partially due to maintenance, installation, modification work or other similar reason, or if so required by law or order from a competent authority. Linecut shall strive to limit the duration of said outages and notify the User of long-term outages in advance.
   
5. Linecut shall maintain a support line for technical issues related to the Platform.

 

Products

1. The contents of the Platform at any given time are offered on an as is basis. Linecut assumes no responsibility for the range of Products available.
   
2. The Partner is solely responsible for the sale of the Products, the delivery thereof to the User and the information provided concerning the Products. All complaints related to the Products shall be directed to the Partner.
   
3. The User may search for different Products offered by the Partners through the Platform using the event search. The User may define the order in which the Products are presented as a result of the search via the Platform’s settings.

Payment and Delivery

1. Users may purchase Products from Partners through the Platform using the payment options available. All prices are displayed in the local currency and include applicable taxes unless otherwise stated.
   
2. Linecut provides the User with an order confirmation and collects payment for the Products on behalf of the Partners. Linecut uses secure third-party payment providers to process payments. By making a purchase, the User agrees to provide accurate payment information and authorize Linecut and its payment providers to charge the amount due for the Products selected. The payment provider shall provide the User with a receipt for the purchase made.
   
3. When delivering Products, the Partner is responsible for verifying the age of the Users when required by applicable legislation, as well as complying with any and all other applicable regulatory requirements concerning the sale of the Products. By purchasing age-restricted Products, the User warrants that they are of the required legal age to do so and otherwise comply with the applicable legislation at the moment of the delivery of the Product.

 

Withdrawal and Refund Policy

The User is entitled to withdraw from the purchase within one (1) day (“Withdrawal Period”). The right to withdrawal shall not, however, apply in situations defined in the applicable consumer protection legislation, for example when:

1. the User has purchased a service that shall be delivered prior to the end of the Withdrawal Period, in which case the User agrees to waive their right to withdrawal after the service has been provided;

2. the product is manufactured or customized to the User’s specifications; or

3. the product may spoil or age rapidly.

4. The event the product was bought for is scheduled to start within 48 hours.

The User may use their right to withdrawal by notifying Linecut directly using the contact information provided. If the withdrawal is made in accordance with these Terms and within the Withdrawal Period, Linecut will confirm the withdrawal.

Linecut retains the right to deduct any costs incurred from the cancellation of the order from any possible refunds. These include, but are not limited to: transaction costs, production costs and reservation costs.

Once the withdrawal is confirmed, the User must return the possible product to the Partner, and Linecut will refund the purchase price using the same payment method used for the initial transaction or store credit.

 

Intellectual Property Rights

1. The ownership and intellectual property rights relating to the Platform, its appearance and code belong exclusively to Linecut.
   
2. The ownership and intellectual property rights relating to the material uploaded to the Platform belong to the Partner who has uploaded the material, or to another rightsholder.
   
3. The User is not granted any direct or indirect rights to the ownership or intellectual property rights relating to the Platform through the use of the Platform. The User is solely granted the limited right to use the Platform described herein these Terms. The User is not entitled to directly or indirectly sell the right to use the Platform to a third party. 

Limitation of Liability

1. To the maximum extent permitted by law, Linecut shall not be liable for any direct or indirect damages resulting from the use of the Platform.
   
2. Linecut shall not be liable for any direct or indirect damages caused by a Partner or by the Products.

Term

1. The User may delete their account and stop using the Platform at any time.
   
2. Linecut reserves the right to remove the User’s account and cancel any possible purchases made but not delivered if Linecut suspects that the account is being used in violation of these Terms or applicable legislation.
   
3. Regardless of the termination of the use of the Platform, Sections 7 (Intellectual Property Rights) and 11 (Governing Law and Dispute Resolution) shall remain in effect.

 

Miscellaneous

1. These Terms constitute the entire understanding between Linecut and the User with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, negotiations and understandings, whether written or oral.
   
2. Linecut reserves the right to update these Terms. In order to continue using the Platform the User must accept the updated Terms.
   
3. If, at any time, any provision of these Terms is or becomes illegal, invalid or unenforceable in any respect, neither the legality, validity or enforceability of the remaining provisions of these Terms will in any way be affected or impaired.
   
4. Linecut is entitled to transfer the contract formed by these Terms to the acquiring party of an asset deal. 
   
5. The official language of these Terms is English, and the Finnish column has been added for informational purposes only. Should there be any discrepancies between the wordings of the English and Finnish versions, the English version shall prevail.

 

Governing Law and Dispute Resolution

1. These Terms are governed by and construed in accordance with the laws of Finland, excluding its choice of law provisions. 
   
2. Any dispute, controversy or claim arising out of or in connection with these Terms or the breach, termination or validity thereof shall be settled in the competent district court.
